Who these terms are with
These Terms and Conditions apply to https://ranklity.com and form part of a service engagement when they are supplied to you and accepted with the relevant estimate, proposal or service agreement.
Ranklity is the trading name of Ranklity Marketing, a sole proprietorship operated by Manas Ranjan Sahoo in Bhubaneswar, Odisha, India.
Contact and grievance details appear at the end of these terms.
Agreeing the work
Our services include LinkedIn profile optimisation, content strategy and ghostwriting, audience growth and engagement, lead-generation support, social media management, SEO, Meta advertising, AI-assisted creative production and Google Business Profile optimisation.
The services you actually purchase, the platforms involved, deliverables, timetable, review process and charges are those agreed in writing for your engagement. Descriptions on the website explain our services but are not a promise to include every activity in every project.
Before work begins, we provide an estimate or proposal and agree the scope with you. A paid service engagement requires a clear acceptance, such as an accepted proposal, signed agreement or express written confirmation. Browsing the website alone does not authorise a charge.
You must be legally able to enter the agreement. If you act for a business or another person, you confirm that you have authority to agree the work and provide the necessary instructions.
Which documents apply
Mandatory law takes priority. A separately accepted service agreement or statement of work governs its specific scope and commercial terms. A data-processing agreement governs the processing matters it covers. These terms and the Refund and Cancellation Policy provide the general framework where the engagement does not specify otherwise.
An engagement document cannot remove rights that the law does not allow a contract to exclude. The Privacy Policy explains information handling; accepting service terms is not blanket consent to unrelated data use or marketing.
Estimates, advances and monthly billing
Our usual monthly arrangement starts with an agreed estimate. You pay 50% of that estimate in advance for the relevant month. At month end, we reconcile the agreed services and any approved changes, issue the final invoice and deduct the advance already paid. The remaining balance is payable on the agreed due date stated in the invoice or service agreement.
The same estimate, advance and reconciliation process normally applies to each subsequent month. A different arrangement applies only if we agree it in writing.
This billing arrangement does not, by itself, authorise automatic card debits. Any recurring payment authority must separately explain the charging basis, frequency and cancellation method and obtain the permission required by law.
For example, an agreed monthly estimate of INR 30,000 normally requires INR 15,000 in advance. If there are no changes, INR 15,000 remains payable at month end. Any additional amount must be justified by an agreed change or approved cost, not simply added without your knowledge.
An advance is credited against the engagement. It is not automatically earned in full or automatically non-refundable merely because it was paid in advance.
Extra work, tools, advertising spend and tax
Work outside the agreed scope, additional production effort and client-specific subscriptions or third-party purchases require your prior written approval of the cost or an agreed spending limit. If the scope changes, we explain the effect on fees and timing. A final invoice does not create permission retrospectively for an unapproved extra.
Advertising spend is separate from our management fee unless the proposal expressly includes it. We agree the relevant account, budget and spending authority before launching a campaign. Subscriptions, stock assets, domains, hosting or other purchases are included only where the engagement says so.
The agreed currency, applicable taxes and known payment charges are identified before payment. Any legally required withholding must be supported by the relevant documentation. There is no automatic tax gross-up unless lawfully agreed. Refunds and tax adjustments are handled under applicable requirements.
Client information, access and approvals
You are responsible for giving accurate business information, timely instructions and materials you are entitled to use. Please identify any regulated claims, restricted products, confidentiality limits or approval requirements before we prepare the work.
We agree how content and campaigns will be reviewed. Silence is not treated as approval to publish under your name unless a lawful, specific approval arrangement has been expressly agreed. We do not invent qualifications, reviews, testimonials or business facts for you.
Delays in access, materials or approvals can affect delivery. We will explain the impact and agree a revised plan where needed. A delay does not give us an unlimited right to charge for unperformed work or introduce an undisclosed penalty.
Account access must use methods permitted by the relevant platform. Your accounts, pages and advertising assets remain yours. We do not require you to share credentials in breach of a platform agreement. Where third-party access is not permitted, the service must use another permitted workflow, such as preparing material for you to publish.
Outreach, advertising and platform rules
Marketing work must comply with the rules for the audience, channel and location involved. A person’s details being visible online does not automatically permit scraping, bulk messaging, advertising uploads or any other use.
We do not agree to fake engagement, fabricated reviews, unlawful address harvesting, misleading claims, unauthorised impersonation or attempts to bypass platform restrictions. Lead-generation and engagement work must use an agreed lawful approach, including permissions, opt-outs and suppression measures where required.
You must tell us about sector-specific rules affecting your business, such as healthcare, financial services, employment or property advertising. We remain responsible for our own conduct; client approval does not excuse work we know is unlawful.
We are an independent service provider. No relationship with LinkedIn, Google, Meta or another platform is implied unless specifically and accurately stated.
Results and service standards
We provide the agreed services with reasonable care and skill. Marketing outcomes also depend on factors outside our control, including the offer, audience, competition, website, client input, platform decisions and market conditions.
We do not guarantee a particular ranking, AI citation, follower increase, number of leads, advertising return, verification decision or platform approval unless an express, lawful commitment is written into the engagement. A performance target is not automatically a guarantee.
This does not excuse failure to deliver agreed work, misleading statements or a failure to meet a service standard or remedy required by law.
Revisions and changes
The engagement sets the included review rounds and how feedback is given. We correct errors for which we are responsible. A new direction, new deliverable or change after an approval may require a revised scope and price, agreed before the additional work begins.
If you raise a concern, please explain what does not match the agreement so that we can assess it and propose the appropriate correction or remedy. Statutory remedies are not limited to an arbitrary number of revision rounds.
Ownership and use of work
You retain your rights in the materials you supply. You give us permission to use those materials only as reasonably needed for the agreed engagement, subject to the permissions and restrictions you communicate.
Once the relevant fees are paid, and to the extent we hold the necessary rights, you receive a worldwide, perpetual, royalty-free licence to use, reproduce, adapt and publish the final deliverables for your own business. A separately signed agreement may instead transfer specified copyright ownership. Any assignment must identify the work, rights, duration and territory and satisfy the law’s formal requirements.
Our pre-existing methods, reusable templates, internal processes and tools remain ours. We grant the permission reasonably needed to use them as part of the paid final deliverables. Third-party assets and platform materials remain subject to their licences, which must be disclosed where relevant. Editable source files are included where agreed in the scope.
We will not publish your identity, logo, confidential work or identifiable results as a portfolio item or case study without separate permission.
AI-assisted creative work
Where AI-assisted production is part of the agreed service, the scope should identify the intended use and any important tool or licensing restriction. AI outputs can contain mistakes or similarities to existing material and may require further review, editing or clearance.
We do not promise that every AI-generated element is unique, copyright-protected or capable of exclusive ownership in every country. Any permission we grant is limited to rights we actually hold. We do not have permission to clone a real person’s voice or likeness, or upload confidential personal material to an external AI tool, simply because you bought a creative service.
Restrictions on AI use, disclosure requirements and any need for additional rights clearance should be agreed before production or publication.
Confidentiality and personal information
Each party must use the other’s confidential information only for the engagement and protect it with appropriate care. Necessary disclosures to authorised workers or providers must be limited to the task and subject to appropriate duties. Disclosures required by law are permitted, with notice where lawful and appropriate.
Confidentiality does not apply to information that is lawfully public, already held without restriction, independently developed or lawfully received from another source.
Our Privacy Policy explains our own information handling. Where we process personal information on your instructions, we must agree any required processing and international-transfer terms before the relevant data is provided. Neither party can transfer its own legal responsibilities to the other through a general disclaimer.
Duration, cancellation and suspension
Unless a different lawful term is expressly agreed, either party may end an ongoing engagement by giving one calendar month’s written notice. Ordinary contractual cancellation notices should be sent by email or signed physical letter to the contact details below. Please identify the engagement and the requested final service date. Cancellation is a notice, not a request that the other party may indefinitely refuse.
Casual WhatsApp messages are not our agreed administrative channel for ordinary contractual cancellation. However, this does not invalidate a notice or cancellation right that applicable law requires us to accept through another method. There is no requirement to use special legal language or give a reason when the law does not require one.
During the notice period we agree the work and handover that will continue. We may agree an earlier end in writing. The final account is based on the work and authorised costs properly chargeable through the final service date, including a fair part-period calculation where appropriate.
Either party may end the engagement sooner where the agreement or law permits, including a serious unremedied breach. We may suspend affected work for an urgent legal or security reason, or an undisputed overdue payment after reasonable notice and an opportunity to address it where practicable. We explain the impact and reconcile undelivered work fairly.
Cancellation, advances and refunds are explained further in the Refund and Cancellation Policy. Your account ownership or unrelated personal data will not be held hostage to a fee dispute.
Liability and mandatory rights
Each party is responsible for loss legally attributable to its own breach, negligence or other actionable conduct. For business engagements, recoverable loss and any expressly agreed liability limit are governed by the accepted service agreement and applicable law. These website terms do not introduce an undisclosed monetary cap.
To the extent lawfully permitted for a business engagement, we are not responsible for remote or indirect loss that is not legally recoverable. We do not exclude liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other matter that cannot lawfully be excluded or limited.
Nothing in these terms removes a consumer guarantee, a remedy for deficient services, a protected privacy right or another mandatory right. Calling a customer a business or professional does not by itself remove protections that apply to that purchase.
Complaints and disputes
Please send service or billing complaints to Manas Ranjan Sahoo using the details below. We acknowledge consumer complaints within 48 hours and address them within one month, or within any shorter period required by applicable law. We explain the outcome and any appropriate remedy. These arrangements do not prevent you from using an available consumer authority, privacy regulator, court or other statutory process.
Indian law governs the engagement unless a different governing law is validly agreed. For business disputes, the competent courts at Bhubaneswar, Odisha have jurisdiction where that choice is legally effective. This does not deprive a consumer of a mandatory protection or forum available under the applicable law of their country or place of residence.
Neither a complaint to us nor informal discussion is a condition that removes an urgent remedy or causes a protected claim to expire.
Changes to these terms
We may update the website terms for future engagements and explain material changes before they apply. We do not retrospectively change an accepted price, scope, cancellation arrangement or accrued right merely by replacing the website text. Material changes to an existing engagement require the agreement or notice that the contract and law require.
If a provision is unenforceable, the remaining provisions continue only to the extent they can lawfully do so. A delay in exercising a right does not automatically waive it. A change in our business structure will be communicated and documented where it affects your contract or information.
